Governance Secretary

Employing more than 200 staff across 16 offices around the world, the MSC is seeking an experienced Governance Secretary to work in its London headquarters in the Corporate Services department.

About the role

Working closely with the Chief Operating Officer, the Governance Secretary is responsible for contributing to the effective and compliant operation of the Marine Stewardship Council’s governance arrangements.  This will involve participating in strategic planning in relation to governance issues and activities to ensure the MSC’s governance arrangements remain aligned to external best practice.

The Governance Secretary supports all MSC Board and Committee meetings (and its subsidiaries), including preparing agendas, board packs and taking high-quality minutes. The Governance Secretary provides advice about governance, good practice, company law and other areas of law as they apply to the MSC’s activities.  They are accountable for legal compliance and statutory filing for all MSC’s registered entities in the UK and internationally. The Governance Secretary also contributes to a range of wider corporate governance activities, including playing a key role in an on-going project to register MSC in international jurisdictions.  

Additionally, the Governance Secretary ensures the MSC’s compliance with its obligations & duties under relevant data protection legislation and guidance (particularly the UK Data Protection Act 1988 and General Data Protection Regulation).  It is an exciting role at the heart of the organisation, with occasional international travel for Board or other meetings.

This position sits within the Corporate Services department, working closely with the Finance, HR, Internal Communications and IT teams.  To be successful the ideal candidate must develop strong collaborative relationships with colleagues in the department, and at all levels across the organisation, as well as with Board and other governance body members.

About you

You must have proven experience working for a company secretarial department for a multi-site organisation – international experience would be helpful but is not essential.  The ideal background will be from a non-profit or public sector organisation, but individuals from the private sector who can demonstrate a strong desire to work for a not-for-profit are also welcome to apply.

Day to day you will be expected to deliver high-quality secretariat services and will therefore need relevant technical skills and experience to be successful in the position.  You will need to show evidence of successfully managing relationships with Board members and Executive colleagues.  Being fully or part ICSA qualified is desirable but study support will be provided to those who wish to complete the qualification.  Confidence and great attention to detail are a must, as are excellent written and verbal (English) communication skills, and sound judgement and absolute discretion.

The ideal person will be able to make decisions in a dynamic international environment where both requirements and priorities change rapidly, and you will have a strong focus on delivery and continuous improvement of day to day governance services.  The position demands high energy, hard-work and the ability to demonstrate to others your empathy and interest in the MSC’s mission and objectives.
